User Content License

This User Content License (this "License") sets out the rights you grant to Noospera LLC ("Noospera") in your User Content. This License is incorporated into and forms part of Noospera's Terms of Service. Capitalised terms used but not defined in this License have the meanings given to them in the Terms of Service.

§1. Grant of Licence

§1.1. You hereby grant Noospera a non-exclusive, royalty-free, worldwide, fully paid-up, irrevocable (during the term of this License) licence to host, copy, store, encrypt, process, analyse, transform, and create derivative analytical artifacts from your User Content, for the purposes and subject to the restrictions set out in this License.

§1.2. The licence granted in §1.1 is sublicensable to Noospera's service providers solely as set out in this §1.2. Noospera may permit its service providers (including, as of the date of this License, OpenAI, Privy, Stripe, and Railway, and any successor or replacement service provider) to receive and process User Content strictly as processors acting on Noospera's behalf, under contractual obligations consistent with this License. Such service providers gain no independent rights in the User Content and may not exercise the licence granted under §1.1 for their own purposes.

§2. Permitted Uses

Without limiting the generality of the Grant in §1, Noospera may, in particular:

• (a) operate, maintain, evaluate, secure, and improve the Service;
• (b) compute analytical artifacts of any kind from User Content, including embeddings, classifications, clusterings, summaries, essays, graphs, statistical aggregations, and comparative or positional analyses across users;
• (c) use User Content, and any analytical artifacts derived from User Content, to train, fine-tune, evaluate, benchmark, or otherwise develop machine-learning models, whether for Noospera's internal use, for use within the Service, or for use in subsequent products or research outputs;
• (d) conduct internal research and product development; and
• (e) use De-identified Information derived from User Content for any purpose. For purposes of this License, "De-identified Information" means information from which Noospera has removed the direct account identifiers it maintains for you (including your email address and account ID) and to which Noospera applies reasonable technical and operational measures to prevent the information's re-association with your account.For the avoidance of doubt, de-identification under this License consists of the removal or obfuscation of the direct account identifiers maintained by Noospera, and does not require, and Noospera shall not be obliged to perform, any further alteration of the content or structure of the User Content itself.

§3. Prohibited Uses

Notwithstanding §1 and §2, Noospera shall not, except under an opt-in arrangement you have separately agreed to in writing pursuant to the framework described in Noospera's Future Directions notice:

• (a) sell, rent, or otherwise transfer User Content to a third party for the third party's independent use; or
• (b) grant any licence in or to User Content to a third party.

For the avoidance of doubt, nothing in this §3 restricts (i) Noospera's use of service providers acting on Noospera's behalf as described in §1.2, or (ii) Noospera's own permitted uses set out in §2, including the use of User Content and analytical artifacts derived from User Content to train machine-learning models for Noospera's own use.

§4. Term

The licence granted under this License commences upon your upload of the User Content to the Service and, subject to §5, remains in force for so long as the User Content is retained in active Service systems.

§5. Termination and Survival

This License terminates with respect to active Service systems upon the earlier of (i) your deletion of the User Content from the Service or (ii) termination of your account. Upon such termination, Noospera will, within a reasonable period and in the ordinary course, remove the User Content from active Service systems and discontinue further active processing of the User Content. The following, however, survive termination of this License and remain in force indefinitely (or for the period stated):

• (a) Backups and audit logs. User Content may persist in encrypted backups, security logs, and audit trails until such backups, logs, or trails are over-written, deleted, or roll off in the ordinary course of Noospera's data-retention practices. Noospera shall not actively use such residual copies after termination except for legal, security, audit, or fraud-prevention purposes.
• (b) Derived Artifacts. All analytical artifacts that Noospera has lawfully derived from the User Content prior to termination — including, without limitation, embeddings, vector representations, classifications, clusterings, conversation summaries, message summaries, code summaries, summary cards, topic essays, topic clusters, graphs, statistical aggregations, comparative or positional analyses across users, machine-learning model weights and parameters trained or fine-tuned in whole or in part on User Content, fine-tuning datasets, evaluation datasets, prompt-construction artifacts, and any further analytical or derivative work product based on any of the foregoing (collectively, the "Derived Artifacts") — survive termination and may be retained, used, modified, and further exploited by Noospera in perpetuity, subject only to the restrictions of §3. You waive any right to require, and Noospera shall not be obliged to perform, the deletion, retraction, reversal, unlearning, retraining, or other modification of any Derived Artifact already created prior to termination, regardless of whether the underlying User Content has been deleted.
• (c) De-identified Information. De-identified Information (as defined in §2(e)) lawfully derived prior to termination ceases to constitute "User Content" for purposes of this License upon such de-identification, and may be retained, used, and further exploited by Noospera in perpetuity for any purpose.
• (d) User Content under opt-in arrangements. Any User Content that, prior to termination, was provided to a third party under an opt-in arrangement you separately agreed to pursuant to §3 (an "Opt-In Licence") remains subject to the terms of that Opt-In Licence. Noospera is not obliged to, and may not be able to, recall such User Content from the third party.
• (e) Legal-hold and required retention. User Content that Noospera is required to retain under applicable law, regulatory obligation, contract, or legal hold may be retained for the period required and used only for the purposes required.

For the avoidance of doubt, the survival provisions of this §5 are intended to be comprehensive and to leave no implied gap. Where User Content has been ingested into any process, calculation, training run, evaluation, or other operation prior to termination, the outputs of that process — and the models, parameters, datasets, or artifacts that incorporate or reflect such outputs — are Derived Artifacts within the meaning of §5(b), and are not retracted, reversed, or otherwise rolled back by termination of this License. You acknowledge that retroactive removal of User Content from such Derived Artifacts is, in many cases, technically and operationally infeasible, and you waive any claim that termination of this License creates an obligation on Noospera to perform such retroactive removal.

§6. Modifications

Noospera may modify this License from time to time. Material modifications will be announced on the Service and, where you have an account with Noospera, communicated to the email address on file at least fourteen (14) days before the modifications take effect. Continued use of the Service after the effective date of a modification constitutes acceptance of the modified License.

§7. Miscellaneous

This License is governed by, and forms part of, the Terms of Service. The governing-law and venue provisions of Section 14 of the Terms of Service apply to this License. If any provision of this License conflicts with the Terms of Service, this License controls as to the subject matter of this License. If any provision of this License is held invalid or unenforceable, the remainder of this License remains in full force and effect. No failure or delay by Noospera in exercising any right under this License operates as a waiver of that right.
