Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of Noospera (the "Service"), operated by Noospera LLC, a Wyoming limited liability company ("we", "us"). By creating an account or otherwise interacting with the Service you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old. You must not be located in, ordinarily resident in, or a national of any country or territory subject to comprehensive U.S. sanctions, and you must not be on any U.S. or other government sanctions list. See our Sanctions Policy.

3. Accounts

Noospera uses email-based authentication provided by our third-party identity vendor (currently Privy). When you sign in with an email address, an account is created and associated with that address. You are responsible for keeping your email account secure and for any activity on Noospera initiated through it. We do not collect a password, and we do not require government-issued identification. We rely on the identity vendor's account-recovery procedures for the account itself; we cannot bypass them.

4. User Content

"User Content" means everything you upload, including AI conversation exports (such as exports from large-language-model providers), the processed datasets and noemas derived from them, summaries, and any metadata you provide. You retain all rights you have in your User Content. You represent and warrant that:

• You have the right to upload and process the User Content;
• The User Content does not contain personal information about identifiable third parties beyond what is incidentally present in conversational text, and you have either appropriate consent, lawful basis, or another valid ground to process such information;
• The User Content does not violate the rights of any person, applicable law, or our Acceptable Use Policy;
• The User Content is not subject to any contractual confidentiality obligation that would prohibit its processing on Noospera.

5. License You Grant Us

To operate, maintain, evaluate, secure, and improve the Service, you grant Noospera a non-exclusive, royalty-free, worldwide, fully paid-up licence to host, copy, store, encrypt, process, analyse, transform, and create derivative analytical artifacts of any kind from your User Content. Such artifacts include but are not limited to: embeddings, topic clusters, cluster summaries, summary cards, topic essays, graphs, statistical aggregations, classifications, comparative or positional analyses across users (for example, similarity, overlap, or proximity within derived representational spaces), and machine-learning models trained, fine-tuned, evaluated, or benchmarked in whole or in part on User Content. The full operative grant is set out in the User Content License, which is incorporated into and forms part of these Terms.

To perform the processing pipeline and operate the Service, your User Content is shared with third-party service providers acting on Noospera's behalf — currently OpenAI (for embedding and summarization), Privy (for email-based identity), Stripe (for payment processing), and Railway (for hosting infrastructure), and any successor or replacement service provider. These service providers process User Content strictly as processors under contractual obligations consistent with these Terms and with the User Content License; they gain no independent rights in your User Content and may not use it for their own purposes.

Noospera will not sell, rent, licence, or otherwise transfer your User Content to any third party for the third party's independent use, except under an opt-in arrangement you have separately agreed to in writing pursuant to the framework described in our Future Directions page. Acceptance of these Terms does not constitute such consent; consent is captured at the time of each specific opt-in action.

The licence granted in this Section terminates with respect to active Service systems upon your deletion of the User Content or termination of your account. Certain artifacts and information, however, survive that termination — including, without limitation: encrypted backups, security logs, and audit trails (until they roll off in the ordinary course); embeddings, summaries, essays, model weights, fine-tuning datasets, and other analytical artifacts already lawfully derived from your User Content prior to termination (the "Derived Artifacts"); de-identified or aggregated information lawfully derived prior to termination; User Content already provided to a third party under an opt-in arrangement (which remains subject to the terms of that arrangement); and User Content subject to legal hold or required retention. The comprehensive survival regime — including the waiver of any right to require retroactive removal of User Content from Derived Artifacts — is set out in §5 of the User Content License.

6. Future Licensing

Noospera does not currently offer a marketplace, and no third-party licensing of your User Content takes place today. The framework we are designing toward is described in our Future Directions page. Nothing in these Terms grants any license to a third party, and nothing on the Future Directions page is a binding commitment.

7. Fees

Users pay a processing fee in U.S. dollars to start the processing pipeline. The current fee structure — including any tiers, discounts, surcharges, or per-unit components — is displayed at checkout. We may add, modify, or remove fees, fee tiers, and pricing components from time to time at our sole discretion, based on factors that include but are not limited to the underlying cost of third-party AI services, the size or nature of your User Content, the model selections you make, and our operating costs. Changes to pricing do not apply retroactively to a transaction already in progress: the price displayed at checkout governs that specific transaction. Payment is processed by our third-party payment provider (currently Stripe).

All fees are non-refundable except in the narrow circumstances described in our Refund Policy. In particular, the costs we incur with third-party AI providers on your behalf, once incurred, cannot be recovered and will not be refunded under any circumstance. By initiating the processing pipeline you authorize us to incur those costs.

8. Prohibited Conduct

You agree not to use Noospera to:

• violate any applicable law or regulation, including export control, sanctions, or anti-money-laundering law;
• infringe or misappropriate the intellectual property, publicity, privacy, or other rights of any person, or upload material you do not have the legal right to upload, process, or further license;
• upload content prohibited by our Acceptable Use Policy;
• attempt to identify, contact, harass, or otherwise interfere with other users, or to circumvent the privacy or security of their accounts;
• interfere with the Service or other users' use of it, including by scraping at scale beyond reasonable individual use, sending automated traffic, attempting denial of service, or overloading the processing pipeline;
• attempt to reverse engineer, decompile, disassemble, or otherwise derive source from the Service, or probe for vulnerabilities outside of our coordinated disclosure process;
• misrepresent your authority to upload User Content, including by uploading another person's AI conversations, or material subject to a confidentiality obligation (legal privilege, medical confidentiality, employer confidentiality, etc.) that you do not control;
• use the Service, or any output of the Service, to develop a competing product, or to train, fine-tune, evaluate, or benchmark any machine-learning model, without our prior written consent.

9. Intellectual Property; DMCA

Notices of claimed copyright infringement should follow the procedure described in our DMCA Policy.

10. Disclaimers

NOOSPERA IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND QUIET ENJOYMENT. THE PROCESSING PIPELINE PRODUCES SUMMARIES, ESSAYS, AND OTHER ANALYTICAL ARTIFACTS USING THIRD-PARTY AI MODELS; THESE ARTIFACTS MAY CONTAIN INACCURACIES OR OMISSIONS AND ARE NOT WARRANTED FOR ANY PARTICULAR USE. THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL, LEGAL, FINANCIAL, OR OTHER ADVICE. WE DO NOT WARRANT UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION OF THE SERVICE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOOSPERA'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO NOOSPERA IN THE 12 MONTHS PRECEDING THE CLAIM AND (B) USD $100. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR LOST DATA.

12. Indemnification

You will defend, indemnify, and hold harmless Noospera LLC, its members, managers, officers, employees, contractors, and agents (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, proceedings, investigations, liabilities, damages, judgments, settlements, fines, penalties, costs, and expenses (including reasonable attorneys' fees and costs of investigation, whether or not litigation is commenced) that arise out of or relate to:

• your User Content, including any claim that your User Content infringes, misappropriates, or violates any intellectual property right, publicity right, privacy right, confidentiality obligation, or other right of any third party;
• your breach of these Terms or of any representation or warranty you have made under them;
• your violation of any applicable law or regulation;
• any dispute between you and another user of the Service, or between you and a third party arising out of your use of the Service;
• your negligence, recklessness, or willful misconduct in connection with use of the Service.

We may, at our option, assume the exclusive defense and control of any matter subject to indemnification by you. If we do, you will reasonably cooperate at your expense with our defense. You will not settle, compromise, or consent to the entry of any judgment in any such matter in a manner that imposes any obligation, admission of liability, or restriction on any Indemnified Party without our prior written consent. This Section 12 survives termination or expiration of these Terms.

13. Termination

We may suspend or terminate your access at any time, including for breach of these Terms or to comply with legal obligations. Sections intended to survive termination (including User Content warranties, license grants for content not yet deleted, fees already owed, disclaimers, limitation of liability, indemnification, and the survival provisions of §5 of the User Content License) survive.

14. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles. Any dispute, claim, or proceeding arising out of or relating to these Terms or your use of the Service will be resolved exclusively in the state or federal courts located in Sheridan County, Wyoming, and you and Noospera each consent to the personal jurisdiction and venue of those courts. Nothing in this Section limits either party's right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights. Nothing in this Section limits any non-waivable right you may have, as a consumer, to bring a claim in the courts of your country or state of residence under the consumer-protection law of that jurisdiction; in any such case, that law and that forum apply only to that claim, and all other claims remain governed by this Section.

15. Changes

We may modify these Terms. Material changes will be announced on the site. Continued use after a change constitutes acceptance.
